Terms of Use

The terms that govern HISCEC membership, the Business Directory, the Marketplace and the rest of our digital services.

ABOUT HISCEC

The Hispanic Chamber of E-Commerce is a business organization focused on helping small businesses build visibility, strengthen their companies, access education and resources, develop relationships, participate in commerce, and explore new opportunities.

HISCEC services may include:

  • business membership;
  • the HISCEC Business Directory;
  • the HISCEC Marketplace;
  • business profiles and digital storefronts;
  • product and service listings;
  • events and workshops;
  • educational courses;
  • business resources;
  • community features;
  • coaching and business guidance;
  • promotional opportunities;
  • research and surveys;
  • small-business advocacy initiatives;
  • buyer, supplier, and business connections;
  • access-to-capital education and resources; and
  • other programs HISCEC may develop.

Availability of particular services or benefits may depend on membership level, geographic location, eligibility requirements, program capacity, or other conditions disclosed with the applicable offering.

MEMBERSHIP

HISCEC currently offers three annual membership levels.

Builder — $47 USD per year

Designed as a starting point for businesses seeking greater visibility, practical resources, and access to the HISCEC business community.

Accelerator — $97 USD per year

Designed for businesses ready to strengthen their marketing, receive additional support, and take the next step in their growth.

Legacy Pro — $297 USD per year

HISCEC's most comprehensive membership level, designed for businesses seeking deeper support, strategic connections, expanded visibility, and additional opportunities.

The specific benefits associated with each membership level are described on the Membership page in effect when you enroll.

HISCEC may improve, modify, replace, introduce, or discontinue benefits as the organization and platform evolve. If a material change significantly affects an active paid membership, HISCEC may provide notice where appropriate or required.

Membership does not guarantee:

  • revenue;
  • sales;
  • leads;
  • website traffic;
  • financing;
  • lending approval;
  • contracts;
  • procurement opportunities;
  • customers;
  • business partnerships;
  • profitability;
  • investment;
  • government contracts; or
  • any specific business outcome.

HISCEC provides resources, education, visibility, connections, and opportunities. Business results depend on circumstances outside HISCEC's control.

MEMBERSHIP ELIGIBILITY AND VERIFICATION

Membership is available to eligible businesses and organizations that satisfy HISCEC's applicable registration and verification requirements.

HISCEC may request reasonable documentation necessary to verify information submitted by an applicant, including:

  • business identity;
  • business registration;
  • business address;
  • EIN or other tax identification information where appropriate;
  • applicable licenses;
  • RFC or applicable Mexican business documentation;
  • ownership or authority to represent the business; and
  • other information reasonably necessary to administer HISCEC services.

Submitting an application does not guarantee approval.

HISCEC may decline an application where reasonably necessary to protect the legality, integrity, safety, reputation, or operation of the HISCEC community and platform.

Unless a particular program states otherwise, HISCEC membership is not limited exclusively to Hispanic-owned businesses.

ACCOUNTS AND ACCOUNT SECURITY

You are responsible for activity conducted through your account.

You agree to:

  • provide accurate and reasonably current information;
  • keep account credentials confidential;
  • promptly update material changes;
  • use the platform lawfully; and
  • notify HISCEC if you believe your account has been compromised.

You may not:

  • impersonate another person or business;
  • create an account for another organization without authorization;
  • materially misrepresent business information;
  • use another user's credentials without permission;
  • manipulate account systems; or
  • attempt to bypass security restrictions.

HISCEC may require additional verification before making certain services available.

MEMBERSHIP BILLING AND AUTOMATIC RENEWAL

Memberships are generally billed annually.

New memberships begin with a 14-day trial; the first charge is made when the trial ends.

Unless otherwise stated during enrollment, a membership may automatically renew for another annual term using the payment method associated with the account.

Where available and appropriate, HISCEC may send advance renewal notices.

You may disable automatic renewal before your next renewal date through available account functionality or by contacting HISCEC.

Disabling renewal does not ordinarily terminate an active membership immediately. Benefits generally continue through the end of the period already paid for.

HISCEC may change future membership pricing. If a new price will apply to a future renewal, HISCEC will provide notice when reasonably appropriate or legally required.

MEMBERSHIP UPGRADES AND DOWNGRADES

Members may be able to upgrade their membership during an active term.

An upgrade may require payment of the applicable difference or prorated amount displayed during the upgrade process.

Benefits associated with an upgraded membership generally become available after the upgrade is processed, subject to eligibility, scheduling, or other requirements applicable to individual benefits.

Downgrades generally become effective at the next membership renewal unless HISCEC expressly provides another option.

A downgrade does not ordinarily entitle the member to a refund of the difference between membership levels.

MEMBERSHIP REFUNDS

Unless a different refund policy is disclosed at enrollment, annual HISCEC membership fees may be eligible for a refund when requested within 30 days of the original membership charge.

Approved refunds generally will be returned to the original payment method.

After the applicable refund period, membership charges are generally non-refundable except where required by law.

Separate refund or cancellation terms may apply to:

  • Marketplace purchases;
  • events;
  • courses;
  • workshops;
  • services;
  • special programs;
  • third-party offerings; or
  • other transactions.

HISCEC may deny or limit refund requests involving suspected fraud, abuse, repeated enrollment and cancellation, chargeback manipulation, or other misuse to the extent permitted by applicable law.

DIGITAL MEMBERSHIP CERTIFICATE

Approved HISCEC members may receive a personalized Digital Membership Certificate recognizing their business as a HISCEC member for the applicable membership period.

The certificate may contain:

  • business name;
  • membership level;
  • membership year;
  • unique certificate number; and
  • other relevant membership information.

A Digital Membership Certificate confirms membership in HISCEC.

It is not:

  • a government certification;
  • a professional license;
  • an accreditation;
  • regulatory approval;
  • a guarantee of business quality;
  • a financial certification;
  • a guarantee of products or services; or
  • an endorsement by a government agency.

Members may display a valid HISCEC Digital Membership Certificate provided they do not modify it deceptively or represent a membership level, year, or status they do not hold.

BUSINESS DIRECTORY AND MARKETPLACE

The HISCEC Business Directory and Marketplace are designed to help users discover member businesses and, where applicable, their:

  • products;
  • services;
  • experiences;
  • accommodations;
  • events;
  • offers;
  • deals;
  • business information; and
  • ways to connect.

Participating businesses remain independent businesses.

Unless HISCEC expressly states otherwise for a particular transaction, HISCEC is not the manufacturer, professional service provider, contractor, accommodation provider, employer, merchant, advisor, or operator responsible for a member business's underlying product or service.

Participating businesses are responsible for their own:

  • listings;
  • descriptions;
  • claims;
  • prices;
  • inventory or availability;
  • qualifications;
  • licenses;
  • fulfillment;
  • customer service;
  • taxes;
  • warranties;
  • shipping;
  • returns;
  • cancellations;
  • refunds;
  • service delivery; and
  • compliance with applicable law.

HISCEC provides technology, visibility, discovery, communication, and transaction-facilitation functionality as applicable to each Marketplace offering.

DIFFERENT TYPES OF MARKETPLACE TRANSACTIONS

The HISCEC Marketplace may support different transaction models.

Depending on the listing, users may be able to:

  • purchase a physical product;
  • request a quote;
  • inquire about a service;
  • request an appointment;
  • request an event registration;
  • request accommodation dates;
  • contact a business;
  • request availability;
  • reserve capacity; or
  • initiate another type of business interaction.

A submitted inquiry or request is not automatically a confirmed purchase, appointment, reservation, contract, or booking unless the applicable page expressly states that confirmation has occurred.

Where confirmation by the participating business is required, the business remains responsible for confirming material terms such as:

  • availability;
  • price;
  • scope;
  • timing;
  • delivery;
  • cancellation terms; and
  • other conditions.

PAYMENT PROCESSING

Certain transactions may allow payment through functionality provided by HISCEC or a third-party payment processor.

Other transactions may be completed directly between users and member businesses.

Where HISCEC facilitates payment, it may do so on behalf of a participating seller or service provider.

Unless expressly identified otherwise, facilitating payment does not make HISCEC the provider of the underlying product or service.

Complete payment-card information may be processed by third-party payment providers and may be subject to their own terms and privacy practices.

HISCEC may retain transaction records necessary for administration, fraud prevention, tax, accounting, customer support, dispute management, or legal compliance.

PRICES AND CURRENCY

Participating businesses may price products, services, accommodations, and other offerings in the currency in which they operate.

Marketplace listings may therefore display prices in:

  • U.S. dollars (USD);
  • Mexican pesos (MXN); or
  • other supported currencies.

Any currency conversion or approximation shown by HISCEC may be informational only.

Exchange rates fluctuate and the final exchange rate may be determined by:

  • a bank;
  • card issuer;
  • payment network;
  • financial institution;
  • payment processor; or
  • other third party.

HISCEC is not responsible for exchange rates, foreign transaction charges, currency conversion fees, or similar charges imposed by third parties.

CROSS-BORDER TRANSACTIONS

The Marketplace may help businesses and customers in the United States and Mexico discover and transact with one another.

Cross-border commerce can involve:

  • tariffs;
  • customs duties;
  • import taxes;
  • shipping fees;
  • brokerage charges;
  • product restrictions;
  • customs documentation;
  • compliance requirements;
  • delivery delays; and
  • other charges or obligations.

Buyers and sellers are responsible for understanding the laws and requirements applicable to their transactions.

HISCEC may provide educational information, estimates, calculators, or other resources relating to cross-border commerce.

Unless expressly guaranteed otherwise, such information is provided for convenience and does not guarantee the amount ultimately assessed by a carrier, customs authority, government agency, payment provider, or other third party.

PRODUCT LISTINGS

Businesses offering products are responsible for ensuring that:

  • products are accurately described;
  • photographs reasonably represent the product;
  • prices are accurate;
  • inventory information is reasonably current;
  • required warnings or disclosures are provided;
  • shipping terms are described;
  • returns policies are disclosed where applicable; and
  • the sale of the product complies with applicable law.

Businesses may not list products they are prohibited from legally selling.

SERVICE LISTINGS

Marketplace service listings may include:

  • professional services;
  • consulting;
  • marketing;
  • technology;
  • education;
  • workshops;
  • experiences;
  • business services;
  • accommodations; and
  • other offerings.

Businesses remain responsible for maintaining licenses, professional credentials, insurance, registrations, permits, or other authorizations required by law.

Unless expressly stated otherwise, HISCEC does not independently guarantee the professional quality, competence, credentials, insurance, licensing, or suitability of every Marketplace service provider.

Users should conduct reasonable due diligence before retaining a provider.

QUOTES, APPOINTMENTS, SERVICE REQUESTS, AND STAY REQUESTS

Some Marketplace listings allow users to request:

  • quotes;
  • appointments;
  • service dates;
  • event participation;
  • accommodation dates;
  • places;
  • reservations;
  • availability; or
  • additional information.

Unless expressly described otherwise, submitting such a request is not a confirmed booking or contract.

Participating businesses are responsible for confirming the request and communicating:

  • availability;
  • price;
  • schedule;
  • scope;
  • deposits;
  • cancellation policies; and
  • other material terms.

SHIPPING, RETURNS, CANCELLATIONS, AND REFUNDS

Participating businesses are responsible for publishing and honoring applicable:

  • shipping;
  • delivery;
  • return;
  • cancellation;
  • rescheduling;
  • refund; and
  • fulfillment policies.

HISCEC may establish Marketplace minimum standards to promote platform integrity and customer trust.

Such standards may be updated as the Marketplace develops.

When no business-specific policy exists, applicable law may determine the parties' rights and obligations.

Nothing in these Terms is intended to waive consumer rights that cannot legally be waived.

CONTENT SUBMITTED TO HISCEC

You retain ownership of original content you submit to HISCEC, including:

  • business descriptions;
  • logos;
  • photographs;
  • videos;
  • service information;
  • product descriptions;
  • event information;
  • articles;
  • reviews;
  • testimonials;
  • comments; and
  • other original materials.

By submitting content for publication, promotion, or operation of HISCEC services, you grant HISCEC a non-exclusive, worldwide, royalty-free license to host, reproduce, format, resize, display, distribute, and promote the content as reasonably necessary to:

  • operate HISCEC websites;
  • create and display business listings;
  • display Marketplace offerings;
  • feature member businesses;
  • promote the Directory or Marketplace;
  • communicate HISCEC programs;
  • publish HISCEC newsletters;
  • operate HISCEC social media channels; and
  • promote programs or services in which your business participates.

You retain ownership of your content.

For content associated primarily with an active business or Marketplace listing, HISCEC will generally stop actively displaying that content after removal of the listing, except where retention is reasonably necessary for:

  • completed transactions;
  • recordkeeping;
  • legal compliance;
  • security;
  • dispute resolution;
  • archival purposes; or
  • previously published communications.

YOUR RESPONSIBILITY FOR SUBMITTED CONTENT

You represent that you have the rights necessary to submit content and authorize HISCEC's permitted use of it.

You may not submit content that:

  • infringes copyrights or trademarks;
  • violates privacy or publicity rights;
  • contains materially deceptive claims;
  • impersonates another individual or organization;
  • contains malware or harmful code;
  • promotes unlawful activity;
  • contains unlawful threats or harassment;
  • contains unlawful discriminatory material;
  • misrepresents a product or service; or
  • otherwise violates these Terms.

HISCEC may remove or restrict content that violates platform policies.

PROHIBITED AND RESTRICTED LISTINGS

HISCEC may prohibit or restrict products, services, content, or businesses that create legal, safety, regulatory, reputational, fraud, or platform-integrity risks.

Depending on applicable law and HISCEC policy, prohibited or restricted categories may include:

  • illegal products or services;
  • counterfeit goods;
  • stolen property;
  • unlawful weapons;
  • illegal controlled substances;
  • prohibited cannabis products;
  • prohibited tobacco or nicotine products;
  • unlawful sexually explicit services or content;
  • fraudulent financial services;
  • regulated financial services offered without required authorization;
  • deceptive investment or business opportunities;
  • pyramid schemes;
  • intellectual-property infringement;
  • dangerous goods;
  • fraudulent services; and
  • other categories HISCEC determines are inappropriate for the platform.

HISCEC may maintain additional Marketplace policies describing prohibited or restricted activities.

REVIEWS AND RATINGS

HISCEC may allow eligible users to publish reviews, ratings, comments, or other community feedback.

Reviews should reflect a genuine experience or opinion.

Users may not:

  • publish fake reviews;
  • manipulate ratings;
  • review their own business through another identity;
  • buy or sell reviews;
  • coordinate misleading reviews;
  • threaten businesses with negative reviews for improper leverage;
  • disclose confidential information;
  • impersonate another person; or
  • use reviews for unlawful harassment or defamation.

Unless expressly identified otherwise, HISCEC community reviews are not represented as verified purchases.

HISCEC may moderate, restrict, or remove reviews that violate platform policies.

HISCEC is not required to investigate or independently verify every opinion submitted by users.

COMMUNITY FEATURES AND COMMUNICATIONS

Where HISCEC offers member discussions, communication tools, messaging, comments, or community features, users are expected to communicate professionally.

Community functionality may not be used for:

  • spam;
  • scams;
  • credential theft;
  • malware;
  • unlawful harassment;
  • fraudulent solicitations;
  • unsolicited mass marketing;
  • unlawful discrimination; or
  • conduct that materially disrupts the platform.

HISCEC may moderate or restrict community functionality to preserve safety, professionalism, and usefulness.

EVENTS, COURSES, AND EDUCATIONAL PROGRAMS

HISCEC may offer:

  • events;
  • workshops;
  • webinars;
  • courses;
  • seminars;
  • business cohorts;
  • educational programs;
  • networking programs; and
  • other learning opportunities.

Individual programs may have separate:

  • pricing;
  • eligibility;
  • registration;
  • attendance;
  • cancellation;
  • refund;
  • capacity;
  • confidentiality; or
  • participation requirements.

Educational materials are intended for informational and educational purposes unless expressly stated otherwise.

Participation does not guarantee a specific business, legal, financial, tax, employment, marketing, or investment result.

BUSINESS COACHING AND GUIDANCE

HISCEC may provide business coaching, educational guidance, workshops, consultations, or other support.

Unless expressly stated otherwise, these services do not constitute individualized:

  • legal advice;
  • tax advice;
  • accounting advice;
  • investment advice;
  • securities advice;
  • financial planning;
  • credit repair;
  • lending;
  • underwriting; or
  • guarantees of financing.

For example, Business Credit Coaching is educational guidance designed to help business owners better understand business credit and capital readiness.

It is not:

  • a loan;
  • a loan approval;
  • a credit-repair service;
  • an extension of credit;
  • a lending commitment; or
  • a guarantee of financing.

Users should consult qualified professionals when individualized professional advice is necessary.

ADVOCACY, SURVEYS, AND RESEARCH

HISCEC may conduct or support:

  • small-business surveys;
  • research studies;
  • polls;
  • focus groups;
  • interviews;
  • economic research;
  • business roundtables;
  • advocacy initiatives;
  • policy feedback;
  • support letters;
  • public comments; and
  • related activities.

Participation may be open to both HISCEC members and nonmembers.

Unless expressly stated otherwise, participation is voluntary.

HISCEC may use aggregated or de-identified information to:

  • understand small-business conditions;
  • prepare research;
  • communicate business needs;
  • support advocacy initiatives;
  • evaluate programs; and
  • contribute to public-policy conversations.

Participation does not guarantee that HISCEC will endorse or adopt a participant's particular position.

Participation in advocacy or research activities does not create an attorney-client, fiduciary, agency, or political-representation relationship with HISCEC.

BUSINESS CONNECTIONS AND INTRODUCTIONS

HISCEC may create opportunities for members to connect with:

  • customers;
  • other business owners;
  • buyers;
  • suppliers;
  • corporations;
  • government agencies;
  • lenders;
  • service providers;
  • professionals;
  • investors;
  • sponsors;
  • community organizations; and
  • other potential partners.

A connection or introduction does not constitute a guarantee, warranty, or endorsement of the other party.

Businesses and users remain responsible for conducting their own due diligence before entering into agreements.

CAPITAL AND FINANCING RESOURCES

HISCEC may provide:

  • financial education;
  • capital-readiness resources;
  • lender information;
  • introductions;
  • business-credit education;
  • financing resources; or
  • other information designed to help businesses understand funding options.

Unless expressly stated otherwise, HISCEC is not acting as the lender.

Third-party lenders and financing providers independently determine matters including:

  • eligibility;
  • underwriting;
  • creditworthiness;
  • rates;
  • fees;
  • collateral requirements;
  • financing amount;
  • approval;
  • repayment terms; and
  • other credit decisions.

HISCEC does not guarantee financing.

MEMBERSHIP DOES NOT CONSTITUTE BUSINESS ENDORSEMENT

HISCEC membership means that a business has been accepted as a member under HISCEC's applicable membership requirements.

Membership does not mean HISCEC guarantees or certifies:

  • quality;
  • product safety;
  • financial condition;
  • legal compliance;
  • licensing;
  • professional competence;
  • creditworthiness;
  • customer service;
  • future conduct; or
  • suitability for a particular customer.

Users remain responsible for evaluating businesses before entering into transactions.

THIRD-PARTY SERVICES AND WEBSITES

HISCEC may provide links, integrations, references, or introductions to independent third parties, including:

  • member businesses;
  • financial institutions;
  • government agencies;
  • payment processors;
  • map providers;
  • social media platforms;
  • sponsors;
  • partners;
  • educational providers;
  • applications; and
  • other websites.

HISCEC does not control independent third parties.

Their:

  • terms;
  • privacy practices;
  • pricing;
  • availability;
  • security;
  • products;
  • services; and
  • content

are governed by their own policies.

A link, reference, sponsor relationship, or introduction does not automatically constitute endorsement.

HISCEC INTELLECTUAL PROPERTY

Except for user-generated content and third-party materials, HISCEC may own or license intellectual property appearing through its websites and platform, including:

  • trademarks;
  • logos;
  • original text;
  • graphics;
  • designs;
  • interfaces;
  • software;
  • educational resources;
  • databases; and
  • other materials.

You may use HISCEC's services for their intended purposes.

Without authorization, you may not:

  • copy or reproduce substantial HISCEC content;
  • systematically scrape the platform;
  • build an unauthorized database from HISCEC listings;
  • commercially exploit HISCEC content;
  • misuse HISCEC trademarks;
  • circumvent technical restrictions; or
  • reverse engineer protected software except where such restriction is prohibited by law.

HISCEC NAME, LOGO, MEMBERSHIP CERTIFICATE, AND MARKS

HISCEC members may use authorized membership assets according to applicable HISCEC branding guidelines.

Membership does not transfer ownership of HISCEC's intellectual property.

Members may not use HISCEC's name, logo, membership certificate, or other marks in a manner that falsely implies:

  • government affiliation;
  • regulatory approval;
  • accreditation;
  • sponsorship;
  • guaranteed quality;
  • HISCEC ownership; or
  • an endorsement beyond actual membership.

HISCEC may require correction or removal of misleading uses.

PLATFORM AVAILABILITY AND CHANGES

HISCEC intends to maintain a useful and reliable platform but cannot guarantee uninterrupted availability.

Services may occasionally be unavailable due to:

  • maintenance;
  • upgrades;
  • cybersecurity matters;
  • internet outages;
  • hosting failures;
  • third-party outages;
  • technical errors;
  • force majeure events; or
  • other circumstances beyond reasonable control.

HISCEC may modify, enhance, replace, or discontinue features as the platform evolves.

CONTENT MODERATION, MEMBERSHIP SUSPENSION, AND TERMINATION

HISCEC may investigate suspected violations of these Terms or other applicable platform policies.

Depending on the circumstances, HISCEC may:

  • issue a notice or warning;
  • request corrections;
  • hide content;
  • remove content;
  • restrict a listing;
  • limit platform functionality;
  • suspend an account;
  • terminate a listing;
  • cancel a membership; or
  • permanently prohibit access.

When reasonably appropriate, HISCEC may provide a user an opportunity to correct a violation.

However, HISCEC may take immediate action where it reasonably believes activity involves:

  • fraud;
  • unlawful conduct;
  • threats to safety;
  • cybersecurity threats;
  • material deception;
  • repeated violations;
  • intellectual-property violations;
  • financial abuse; or
  • substantial harm to HISCEC, users, or third parties.

Refund eligibility following suspension or termination will depend on the circumstances, applicable policies, these Terms, and applicable law.

MARKETPLACE DISPUTES

Buyers and participating businesses should ordinarily attempt to resolve transaction disputes directly with one another.

Where platform functionality allows, HISCEC may choose to provide reasonable communication assistance or other support.

HISCEC's involvement does not make HISCEC:

  • a court;
  • arbitrator;
  • guarantor;
  • insurer;
  • seller;
  • buyer; or
  • professional dispute-resolution provider.

Any refund, charge adjustment, or other payment remedy made available through HISCEC will depend on:

  • the type of transaction;
  • applicable seller policies;
  • payment-provider rules;
  • platform capabilities;
  • applicable law; and
  • the particular circumstances.

HISCEC does not guarantee resolution within a particular number of days unless a specific program or transaction expressly provides such a commitment.

NO GUARANTEE OF BUSINESS RESULTS

HISCEC works to create resources and opportunities for entrepreneurs, but business outcomes cannot be guaranteed.

HISCEC does not guarantee:

  • business revenue;
  • profits;
  • customer acquisition;
  • website traffic;
  • Marketplace traffic;
  • search-engine rankings;
  • sales;
  • contracts;
  • financing;
  • partnerships;
  • tax savings;
  • valuation improvements;
  • investment returns;
  • procurement;
  • regulatory results; or
  • business success.

Each business owner remains responsible for business decisions and results.

DISCLAIMER OF WARRANTIES

To the fullest extent permitted by applicable law, HISCEC's websites, technology, content, community features, and digital services are provided on an “as is” and “as available” basis.

HISCEC does not guarantee that:

  • services will operate without interruption;
  • all information will always be accurate;
  • all listings will be complete;
  • every business will perform as represented;
  • every user will behave appropriately;
  • third-party information will be error-free; or
  • use of HISCEC will produce a particular result.

Nothing in these Terms excludes warranties, protections, or rights that applicable law does not permit HISCEC to waive.

LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, HISCEC and its directors, officers, employees, representatives, and affiliates will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use of HISCEC services, including damages relating to:

  • lost profits;
  • lost opportunities;
  • business interruption;
  • loss of data;
  • third-party transactions;
  • user-generated content;
  • independent business conduct;
  • Marketplace purchases; or
  • reliance on general educational information.

HISCEC does not exclude or limit liability where doing so would be prohibited by law.

Nothing in these Terms is intended to waive non-waivable consumer protections.

INDEMNIFICATION

To the extent permitted by applicable law, businesses using HISCEC agree to defend, indemnify, and hold harmless HISCEC and its directors, officers, employees, representatives, and affiliates from third-party claims, damages, losses, liabilities, and reasonable expenses arising from:

  • products or services provided by the business;
  • content submitted by the business;
  • infringement of another party's rights;
  • unlawful conduct by the business;
  • material misrepresentation; or
  • a material violation of these Terms.

This obligation does not apply to the extent a claim results from HISCEC's own unlawful conduct or where indemnification is prohibited by law.

PRIVACY

HISCEC's collection, use, retention, and disclosure of personal information are described in the HISCEC Privacy Policy.

Contextual link: Privacy Policy → (usar la ruta real existente de la Privacy Policy; no inventar ruta).

TEXT MESSAGES AND SMS

Providing a telephone number does not automatically constitute consent to receive promotional SMS communications.

Where consent is required, users must separately opt in.

The consent language presented at the point of collection should accurately describe the messaging program being operated.

A typical disclosure may state:

“By providing your phone number and opting in, you agree to receive communications from HISCEC at the number provided. Message and data rates may apply. Message frequency varies. Consent is not a condition of purchase. Reply HELP for help and STOP to cancel.”

Transactional, security, or other legally permitted communications may be treated differently from promotional communications as allowed by law.

HISCEC - By providing your phone number and checking the box, you agree to receive promotional and marketing messages, notifications, and customer service communications from HISCEC. Message and data rates may apply. Consent is not a condition of purchase. Message frequency varies. Text HELP for help. Text STOP to cancel. See Terms.

CHANGES TO THESE TERMS

HISCEC may update these Terms as:

  • the platform evolves;
  • membership changes;
  • new products or services are introduced;
  • technology changes;
  • legal requirements change; or
  • HISCEC's operating practices develop.

The Effective Date displayed at the beginning identifies the current version.

If a material change significantly affects an active paid membership or an existing service relationship, HISCEC may provide additional notice when required or reasonably appropriate.

Continued use after revised Terms become effective constitutes acceptance where permitted by law.

Where affirmative consent is required, HISCEC will request it.

GOVERNING LAW AND DISPUTE RESOLUTION

HISCEC operates a platform that may involve users, businesses, and transactions in more than one jurisdiction.

The laws governing a dispute may depend on factors including:

  • the HISCEC legal entity operating the applicable service;
  • the user's location;
  • the seller's location;
  • the nature of the transaction;
  • applicable consumer law; and
  • mandatory legal protections.

Nothing in these Terms is intended to waive rights or remedies that cannot legally be waived.

For cross-border Marketplace transactions, the applicable law may depend on the seller, buyer, type of transaction, and mandatory consumer protections.

CONSUMER RIGHTS

Nothing in these Terms is intended to eliminate, restrict, or waive consumer rights that cannot legally be waived under applicable law.

If a provision of these Terms conflicts with a mandatory consumer-protection law applicable to a particular transaction, the mandatory law controls to the extent of that conflict.

SEVERABILITY

If a provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect to the extent permitted by law.

NO WAIVER

If HISCEC does not immediately enforce a provision of these Terms, that does not waive HISCEC's right to enforce the provision later.

ASSIGNMENT

Users may not transfer or assign their rights or obligations under these Terms in a manner that materially affects HISCEC without HISCEC's consent.

HISCEC may assign or transfer its rights and obligations in connection with an organizational restructuring, merger, transfer of programs or assets, or other lawful organizational transaction.

ENTIRE AGREEMENT

These Terms, together with applicable:

  • Privacy Policy;
  • membership terms presented during enrollment;
  • Marketplace policies;
  • refund policies;
  • program-specific terms;
  • event terms;
  • seller terms; and
  • other disclosures expressly incorporated into a particular transaction

constitute the applicable agreement concerning the relevant HISCEC service.

If a program-specific agreement expressly conflicts with these general Terms, the more specific provision generally controls for that particular program or transaction, except where prohibited by law.
